Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NeuroMotive platform, including the studio application, playback application, and neuromotive.health website (collectively, the "Services"), operated by NeuroMotive Health, LLC ("NeuroMotive," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Eligibility and Accounts

You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement.

Access to the platform is provided by invitation or by authorization from a facility administrator. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@neuromotive.health if you suspect unauthorized access.

You may not share your credentials, create accounts on behalf of others without their knowledge, or attempt to access accounts that are not yours.

2. Description of Services

NeuroMotive provides a software platform that enables families and care organizations to create personalized reminiscence therapy experiences for residents of senior living and care communities. The Services include tools for uploading media, creating guided reminiscence sessions, delivering those sessions within care settings, and tracking engagement over time.

3. Your Content

You retain all rights to the photographs, audio recordings, and other media you upload to the platform ("Your Content"). By uploading Content, you grant NeuroMotive a limited, non-exclusive license to store, process, and display Your Content solely as necessary to provide the Services to you.

You represent and warrant that: (a) you own or have the necessary rights to upload Your Content; (b) Your Content does not violate the privacy or intellectual property rights of any third party; and (c) you have obtained any necessary consents from individuals appearing in Your Content.

We will not use Your Content for any purpose beyond delivering the Services. We will not display, license, or sell Your Content to third parties.

4. Acceptable Use

You agree not to:

• Upload Content that is unlawful, abusive, harassing, or that you do not have the right to share
• Attempt to reverse-engineer, disassemble, or copy any part of the platform
• Use the Services to transmit malware, spam, or automated requests
• Access the Services through unauthorized means or bypass access controls
• Misrepresent your identity or affiliation with a care organization
• Use the Services in any way that violates applicable laws or regulations

5. NeuroMotive's Intellectual Property

The NeuroMotive platform, including its design, code, trademarks, and documentation, is owned by NeuroMotive Health, LLC and protected by intellectual property laws. Nothing in these Terms grants you a right to use our trademarks, logos, or other brand features. Your access to the Services does not give you any ownership interest in the platform.

6. Healthcare Disclaimer

NeuroMotive is not a medical device and does not provide medical advice, diagnosis, or treatment. The Services are designed to support structured reminiscence programming and engagement activities in care settings. They are not a substitute for professional medical care, clinical evaluation, or licensed therapeutic intervention.

NeuroMotive operates as a Business Associate under HIPAA when providing services to covered entities such as skilled nursing facilities and senior living communities. We maintain administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of any protected health information (PHI) processed through the platform. A Business Associate Agreement (BAA) is available upon request and is included as a standard attachment to all service agreements with covered entities.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We are not responsible for the accuracy or completeness of any content submitted by users.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, NEUROMOTIVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

9. Indemnification

You agree to indemnify and hold harmless NeuroMotive, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Services, your Content, or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if your account has been inactive for an extended period.

You may discontinue use of the Services at any time. If you wish to have your account and associated data deleted, contact us at hello@neuromotive.health.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in California. If you are a California resident, you may also have rights under California consumer protection law.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date and, for material changes, notify you by email or through the platform. Your continued use of the Services after any update constitutes your acceptance of the revised Terms.
